Introduction & Acceptance of Terms
Welcome to Seoul Beauty Club (company name Far Eastern Corp., “Company”, “we”, “us”, or “our”). By accessing our website or purchasing our Seoul Beauty Club subscription box service (collectively, the “Services”), you (“you” or the “User”) agree to be bound by these Terms of Use and any other policies referenced herein. PLEASE READ THESE TERMS CAREFULLY. By using any part of our site or Services, you acknowledge that you have read and understood these terms, including the binding arbitration and class action waiver provisions in the “Dispute Resolution” section, and you agree to abide by them. If you do not agree, you must not use our site or Services.

 

We may update these Terms of Use from time to time. If we make material changes, we will notify users by posting the updated Terms on our site with a new effective date. Your continued use of the site or subscription after changes are posted constitutes your acceptance of the revised Terms.

 

1. Eligibility & Accounts
1.1 Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase a subscription or use our Services. By using our site, you represent that you meet this age requirement. If you are under 18, you may use the Services only with involvement of a parent or legal guardian. We do not knowingly sell to children; see our Privacy Policy regarding minors.
1.2 Account Registration: Purchasing a Seoul Beauty Club subscription may require creating an account. You agree to provide accurate, current information (such as name, shipping address, payment details) and to keep it updated. You are responsible for maintaining the confidentiality of your account login and for all activities that occur under your account. Please notify us immediately of any unauthorized use of your account.
1.3 Account Use: You agree not to impersonate anyone or use another person’s account. We reserve the right to suspend or terminate any account we suspect is involved in fraudulent or unauthorized activity, or if account information is inaccurate or violates these Terms.

2. Subscription Terms & Billing
2.1 Recurring Subscription: Seoul Beauty Club is an ongoing subscription service. When you pre-order and subscribe, you are signing up to receive a box on a recurring basis (e.g., monthly) until you cancel. Your subscription will automatically renew each billing period, and you will be charged for each renewal until you cancel. If you subscribe for a membership with a fixed term (e.g. annual or quarterly), you will not be able to cancel your payment before the end of such term.
2.2 Billing & Charges: For the first box (pre-order), your provided payment method is charged at the time of checkout to secure your order. Subsequent boxes will be charged on a recurring billing date (for example, on the 15th of each month or another set schedule). You agree that we may save and charge your payment method for each renewal without further authorization, until you cancel. All prices are in USD and subject to applicable taxes. If any payment fails, we may retry or contact you for an update.
2.3 Pricing Changes: Prices for the subscription or shipping may change over time. If the price of your subscription changes, we will notify you in advance (for example, by email or site notice). Price changes will apply to future charges (we will not retroactively charge you more for already-paid orders). If you do not agree with a price change, you may cancel before the new price takes effect. Continuing to receive the service after the price change is implemented constitutes your acceptance of the new pricing.
2.4 Promotions & Discounts: From time to time, we may offer introductory pricing, discount codes, or promotions for new subscribers. Such offers are subject to their own terms and may be limited to one per customer. If you violate the terms of a promotion, we reserve the right to charge full price or cancel your order.

3. Shipping & Delivery
3.1 Shipping Schedule: Pre-ordered boxes will ship starting on the date advertised (for the first box, May 31, 2025). Subsequent subscription boxes typically ship around end-month of each cycle (e.g., around the last date of each month for monthly subscriptions). We will communicate the general shipping schedule on our site or FAQ. Actual ship dates may vary slightly and are subject to change – if we need to adjust timing (e.g., due to inventory or logistics issues), we will let subscribers know in advance when possible.
3.2 Delivery: We ship from Seoul, South Korea to U.S. addresses only (including all U.S. states; at this time we do not ship internationally outside the U.S.). Please allow an estimated 3–10 business days for delivery after a box ships. Delivery times can vary based on the carrier and destination. Delays: While we strive for timely delivery, there may be occasional delays due to customs clearance, courier issues, or other factors outside our control. We are not liable for such delays. However, if your box is significantly late or missing, please contact us and we will assist in tracking or replacing the shipment as appropriate.
3.3 Shipping Fees: Unless otherwise stated, shipping costs may apply to subscription price. Any exceptions (such as free shipping, expedited shipping options or special handling fees) will be clearly presented at checkout. Customers are responsible for any customs, duties, or import taxes if they were to apply.
3.4 Address Accuracy: You are responsible for providing the correct shipping address. Please double-check your address at checkout and update your account promptly if you move or need to change the delivery location for future boxes. If a box is returned to us due to an incorrect address or if it is unclaimed, we will contact you to arrange re-shipment (additional shipping charges may apply for resending, or we may issue a refund for that box at our discretion).
3.5 Risk of Loss: Once we hand off your package to the shipping carrier, risk of loss transfers to you. This means you are responsible for any loss or damage during transit. However, we will do our best to help if something goes wrong. If your box arrives damaged or is lost by the carrier, please reach out to our customer support so we can investigate and make it right (see our Refund Policy for more on damaged items).

4. Cancellation Policy
4.1 Cancel Anytime: You may cancel your Seoul Beauty Club subscription at any time, effective for the next billing cycle. There are no cancellation fees. To cancel, log in to your account settings and follow the cancellation process, or contact our customer support team before your next billing date. Once your cancellation is processed, you will not be charged for any further boxes. (If you cancel after you’ve already been billed for an upcoming box, that box will still ship and your cancellation will apply to subsequent boxes.)
4.2 No Refund for Processed Orders: Cancelling your subscription does not retroactively refund payments for any boxes that have already been billed and are being processed. In other words, if you’ve been charged for a box and then decide to cancel, that charge will not be refunded (because that box is already being prepared for you). After cancellation, you will not be billed again.
4.3 How to Cancel: The preferred method is through your online account (“Manage Subscription” settings). You can also cancel by contacting us via email at support@seoulbeautyclub.com. We may require certain information to verify your identity when cancelling via email or chat. Your cancellation is not final until you receive a confirmation from us. Please retain this confirmation for your records.
4.4 Company Cancellation: We reserve the right to terminate or refuse your subscription at any time for suspected fraud, abuse, violation of these Terms, or other valid reason. If we terminate your subscription unexpectedly, we will provide a refund for any boxes you were charged for but will not receive, except in cases of fraud or illegal conduct. Section 9 (Dispute Resolution) will survive any termination of these Terms.

5. User Conduct and Site Use
5.1 Permitted Use: You may use our website and Services for your personal, non-commercial use in compliance with these Terms. You agree not to misuse the site. For example, you will not:

• Interfere with the normal operation of the site or attempt to access it using a method other than the interface and instructions we provide.

• Engage in any fraudulent or illegal activities on the site, including making false orders or attempting to scam the Company or other users.

• Copy, distribute, or create derivative works from any part of our website content without our prior written permission.

• Use any automated means (robots, scrapers) to collect information from our site without authorization.

• Upload or transmit any malicious code, or do anything that could harm our systems or the experience of other users.
  

5.2 Community Interaction: If our site allows reviews, comments, or user-generated content, you agree to be respectful and not post any content that is unlawful, offensive, defamatory, or infringes on anyone’s rights. We may moderate or remove user content that violates these standards.
5.3 Suspension: Violation of this Section 5 may result in suspension of your access or termination of your account, at our sole discretion. Serious violations (such as fraud or illegal acts) may be reported to law enforcement.

 

6. Intellectual Property
6.1 Our Content: All content on the Seoul Beauty Club website and materials included in the subscription box (such as logos, graphics, text, design, product information) are the intellectual property of Seoul Beauty Club or our content suppliers and are protected by copyright, trademark, and other intellectual property laws. Seoul Beauty Club™ and our logos are trademarks of the Company. All rights are reserved.
6.2 Limited License: We grant you a limited, revocable license to access and use our site and content for personal use only. You may not reproduce, resell, or exploit any portion of our site or products without express written permission from us.
6.3 Third-Party IP: The products included in our boxes are manufactured by third-party brands, and those brands’ names and logos may be their trademarks. Inclusion of a product in our box does not imply any affiliation or endorsement by that brand (unless explicitly stated). You agree to use those third-party products in accordance with their provided instructions and not to infringe on any intellectual property rights of those brands.

7. Disclaimer of Warranties
7.1 “As Is” Basis: The site, Services, and all products you receive from Seoul Beauty Club are provided “as is” and “as available,” without any warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the website will be uninterrupted or error-free, or that the products will meet your individual expectations (though we certainly hope you love them!).
7.2 No Medical or Skin Advice: The content we provide (on our site or in-box materials) is for informational purposes only. We are not giving medical, dermatological, or professional advice. Skincare and cosmetic products can affect individuals differently. Always read product labels, patch test new skincare if needed, and use as directed. If you have specific skin conditions or allergies, consult a healthcare professional. Use the products at your own risk.
7.3 Product Quality: We stand by the quality of the items we curate. However, Seoul Beauty Club does not manufacture the products. Any warranties provided by the product manufacturers (if any) would be described by those brands on their packaging. We do not independently warrant the efficacy or suitability of any product for your needs.

7.4 Product Safety, Compliance & Regulatory Disclaimers

The products included in your Seoul Beauty Club box are manufactured and labeled by third-party brands and not by Seoul Beauty Club. While we take great care in selecting reputable, high-quality products that are compliant with Korean regulations, we make no warranties or representations regarding their compliance with the laws or regulations of any other country, including but not limited to the U.S. Food and Drug Administration (FDA) or the Modernization of Cosmetics Regulation Act of 2022 (MOCRA).

By subscribing, you agree and acknowledge:

• You are using all products at your own risk and discretion.
• We are not liable for any adverse reactions, skin sensitivities, injuries, or other effects resulting from use or misuse of any product.
• We do not manufacture or alter the ingredients, packaging, or labeling of any product and are not responsible for any defects, omissions, or inaccuracies provided by the manufacturer.
• You are responsible for reviewing product labels, ingredients, and instructions before use, and for consulting a medical professional if you have any specific concerns, allergies, or medical conditions.

To the fullest extent permitted by law, Seoul Beauty Club disclaims any liability for product-related harm, injuries, or regulatory non-compliance related to third-party products included in our boxes.

 

8. Limitation of Liability
8.1 No Indirect Damages: To the maximum extent permitted by law, Seoul Beauty Club (and our employees, affiliates, partners, and vendors) will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the site or receipt of the subscription boxes. This includes, for example, damages for loss of profits, loss of data, loss of goodwill, or the cost of obtaining substitute products or services.
8.2 Cap on Liability: Our total aggregate liability for any claim arising from your use of our Services or products is limited to the amount you paid us for that product or service in the twelve months leading up to the claim. For example, if the claim involves a particular box, our liability will not exceed the subscription fee for that box. If you have not paid anything (e.g., browsing the website for free), we owe you no damages.
8.3 Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties, so some of the disclaimers or limits in Sections 7 and 8 may not apply to you. In such jurisdictions, our liability will be limited to the fullest extent permitted by law. Nothing in these Terms shall exclude or limit any liability that cannot be limited by law, such as liability for gross negligence or willful misconduct.
8.4 Indemnification: You agree to indemnify and hold harmlessSeoul Beauty Club and its affiliates, officers, employees, and agents from any claims, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising out of or related to (a) your violation of these Terms, (b) your use of the Services or products, or (c) your violation of any law or the rights of a third party. This means if a third party sues us because of something you did wrong, you will defend us or cover our costs.

 

9. Dispute Resolution & Arbitration Agreement
9.1 Governing Law: These Terms and any disputes arising out of your use of the Services are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. We choose Delaware law because we are incorporated there, and to have a consistent legal framework for all users. If you reside outside the U.S., you waive any protection under your local consumer laws to the extent permitted, and agree to the above choice of law.
9.2 Initial Dispute Resolution: We are committed to customer satisfaction. Most concerns can be resolved quickly by contacting our support team at support@seoulbeautyclub.com. You agree to try to resolve any dispute informally by contacting us before initiating formal legal action.
9.3 Binding Arbitration: ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES WILL BE RESOLVED BY BINDING ARBITRATION, NOT IN COURT. You and Seoul Beauty Club agree to waive the right to a trial by jury and to participate in a class action for all covered claims. This arbitration provision is governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16).

• Scope: This agreement to arbitrate is intended to be broadly interpreted. It includes claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory. However, either party may bring an individual action in small claims courtfor disputes or claims within that court’s jurisdiction, as long as it remains an individual case.

• Arbitration Procedure: The arbitration will be administered by a neutral arbitration provider (such as the American Arbitration Association, “AAA”) under its Consumer Arbitration Rules. The arbitration will take place in a mutually agreed location (if you and we do not agree, then in a location determined by the arbitrator or applicable rules, or by default, Los Angeles, California). The arbitrator will have the authority to decide all threshold questions, including issues of arbitrability. Arbitration is less formal than a lawsuit in court and uses a neutral arbitrator instead of a judge or jury. The arbitrator can award the same damages and relief that a court can, including injunctive or declaratory relief if required by law.

• Class Action Waiver: All arbitrations shall be conducted on an individual (not class-wide) basis. You may not join or consolidate claims with others, or arbitrate any claim as a representative of a class or in a private attorney general capacity. The arbitrator may only award relief (monetary or injunctive) in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.

• Opt-Out: You have the right to opt out of this arbitration agreement. If you do not wish to be bound by this arbitration clause and class action waiver, you must notify us in writing within 30 days of first accepting these Terms (for example, within 30 days of your initial purchase). To opt out, send an email to legal@seoulbeautyclub.com or a letter to our mailing address (provided in the “Contact Us” section) with your full name and a clear statement that you opt out of arbitration. Opting out of this arbitration provision will not affect any other provisions of these Terms (such as the subscription obligations).

• Exceptions: If for some reason this arbitration agreement is found unenforceable, or if the class action waiver is found unenforceable, then the entirety of this arbitration agreement shall be null and void. In such case, you and we agree that any dispute that would have been arbitrable will instead be resolved exclusively by a state or federal court in the State of California, and you consent to venue and personal jurisdiction there.

• Fees: Each party will be responsible for their own attorneys’ fees and costs in arbitration, except as provided by law. The costs and fees of the arbitration forum will be allocated per the forum’s rules (for example, the AAA rules often provide that consumer arbitration fees are capped and the company pays the rest). We will not seek attorney’s fees from you in arbitration unless the arbitrator finds your claims to be frivolous.
  9.4 Time Limit to Raise Dispute: To the extent permitted by law, any dispute or claim you have must be brought within one (1) year from the date the claim arose, or it will be irrevocably waived. (For example, if you had an issue with a May 2025 box, any claim related to that must be filed by May 2026.) This one-year limitation does not apply to statutory rights that cannot be limited by contract.
  9.5 Survival: This Dispute Resolution section survives the termination of your subscription or these Terms.

10. Miscellaneous
10.1 Privacy Policy: Please review our Privacy Policy (below) to understand how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of information as outlined in the Privacy Policy.
10.2 Entire Agreement: These Terms of Use, along with the Privacy Policy and any other policies or guidelines posted on our site (such as the Refund Policy and Shipping Policy), constitute the entire agreement between you and Seoul Beauty Club regarding your use of the Services. They supersede any prior agreements or communications between you and us relating to the subject matter.
10.3 Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from the Terms and will not affect the validity and enforceability of the remaining provisions. The remainder of the Terms will remain in full force.
10.4 No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective.
10.5 Assignment: You may not assign or transfer your rights or obligations under these Terms to anyone else without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets, or by operation of law.
10.6 Headings: The section titles in these Terms are for convenience only and have no legal or contractual effect.
10.7 Force Majeure: We are not liable for any failure to perform or delay in our performance caused by events beyond our reasonable control, such as acts of God, natural disasters, war, terrorism, labor conditions, power failures, or Internet disturbances.
